These Terms of Use ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Apriority Financial, Inc. ("Apriority," "we," "us," or "our"). These Terms govern your access to and use of Apriority's websites, mobile applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Service means all features, tools, content, software, and functionality provided by Apriority.
  • User Content means information you upload, submit, or provide through the Service.
  • Third Party Services or Providers means financial products, offers, APIs, or services made available by unaffiliated third parties, including banks, lenders, credit unions, insurers, and other service providers.
  • Referral Credits means promotional loyalty rewards issued by Apriority in connection with your use of the Service or interaction with Third Party Services. Referral Credits are not cash, have no cash value, and may only be used within the Service as expressly permitted by Apriority.

2. Acceptance of Terms

By using the Service, you agree that:

  • You have read, understood, and accepted these Terms
  • You will comply with all applicable laws and regulations
  • These Terms form a binding agreement under the laws of the State of California

3. Our Purpose and Relationship to You

Apriority provides tools, insights, and recommendations designed to help you reduce the total cost of debt and improve financial outcomes.

  • Apriority may receive compensation from Third Party Services when you engage with their products or services.
  • We design recommendations to align with your financial outcomes; however, compensation relationships may exist.
  • Nothing in these Terms creates a fiduciary, advisory, or agency relationship between you and Apriority.

You are solely responsible for evaluating financial decisions and selecting any Third Party Services.

4. Eligibility and Accounts

4.1 Eligibility

You must be at least 18 years old to use the Service.

4.2 Account Responsibilities

You agree that:

  • All information you provide is accurate and up to date
  • You will maintain the confidentiality of your account credentials
  • You are responsible for all activity under your account
  • You will not share your account or impersonate another person

5. Service Description and Use

The Service may include:

  • Financial analysis and personalized recommendations
  • Tools for credit rebuilding, loan discovery, refinancing, and debt management
  • Educational and informational content

No Guarantee of Results

  • The Service is provided for informational purposes only
  • Results vary based on individual circumstances and external factors
  • Apriority does not guarantee outcomes such as loan approval, rate reductions, or savings

6. Fees, Payments, and Referral Credits

6.1 Fees

Certain features may require payment. You agree to pay all fees disclosed at the time of purchase.

6.2 Billing and No Refunds

  • Payments may be processed by third-party payment providers
  • You authorize recurring charges where applicable

All payments are final and non-refundable, except where required by applicable law. Once a payment is processed, it is not eligible for reimbursement, refund, or credit, whether in whole or in part. You are responsible for reviewing charges before completing transactions.

6.3 Referral Credits

  • Referral Credits are not cash, have no cash value, and are not redeemable for cash.
  • Referral Credits are non-transferable and may not be sold, exchanged, or assigned.
  • Referral Credits may only be used within the Service for permitted features or benefits.
  • Referral Credits are issued at Apriority's sole discretion and may be modified, revoked, or discontinued at any time.
  • Referral Credits do not expire.
  • Earning Referral Credits is not guaranteed and may depend on successful interactions with Third Party Services.

Apriority may receive compensation from Third Party Services. Referral Credits are promotional in nature and do not represent wages, property, or any monetary entitlement.

7. Third Party Services

  • The Service may present Third Party Services
  • Apriority does not control, endorse, or guarantee such services
  • Your interactions with Third Party Services are at your own risk
  • Third parties' terms and privacy policies apply

Apriority is not liable for any losses, damages, or outcomes resulting from your use of Third Party Services.

8. Data Privacy and Credit Authorization

We collect and use data as described in our Privacy Policy.

By using the Service, you agree that:

  • Apriority and participating Providers may obtain, verify, and use your personal and financial information
  • This may include obtaining credit reports, scores, or related data from credit bureaus
  • Such inquiries may include "soft" credit checks that do not affect your credit score

We do not sell your personal financial information.

9. User Content

  • You retain ownership of your User Content
  • You grant Apriority a worldwide, non-exclusive, royalty-free license to use it to operate the Service

10. Prohibited Conduct

You agree not to:

  • Provide false or misleading information
  • Attempt unauthorized access or interfere with the Service
  • Reverse engineer, scrape, or exploit the Service
  • Use the Service for unlawful purposes

Violations may result in termination and legal action.

11. Intellectual Property

All content, software, and materials are owned by Apriority or its licensors and protected by law. You may not copy, distribute, or create derivative works without permission.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." APRIORITY DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

We do not guarantee the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Apriority is not liable for indirect, incidental, or consequential damages
  • Total liability will not exceed the greater of:
    • Amounts you paid in the prior 12 months
    • $100 USD

14. Indemnification

You agree to defend and indemnify Apriority and its affiliates from any claims arising out of:

  • Your use of the Service
  • Your violation of these Terms
  • Your interactions with Third Party Services

15. Dispute Resolution

15.1 Informal Resolution

You agree to attempt to resolve disputes by contacting support@apriority.ai first.

15.2 Binding Arbitration

Disputes will be resolved by binding arbitration under AAA Consumer Arbitration Rules in California.

15.3 Class Action Waiver

Disputes must be brought individually, not as a class action.

15.4 Governing Law

California law applies.

15.5 Time Limitation

Any claim must be filed within one (1) year or be permanently barred.

16. Termination

We may suspend or terminate your access for:

  • Violations of these Terms
  • Security concerns or suspected fraud
  • Legal or regulatory requirements

17. Changes to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of changes.
