Electronic Communications & E-Sign Act Terms

These Electronic Communications and E-Sign Act Terms ("Agreement") are a legally binding agreement between you ("User," "you," or "your") and Apriority Financial, Inc. ("Apriority," "we," "us," or "our"). They govern your consent to receive electronic communications and to use electronic signatures in connection with Apriority services, including websites, mobile applications, and related features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use or access the Service.

1. Definitions

For purposes of this Agreement:

  • Electronic Communications means notices, disclosures, agreements, acknowledgements, and other documents provided electronically.
  • Electronic Signatures means any electronic act, including clicking buttons, checking boxes, or other electronic methods, used to signify agreement or authorization.
  • User Contact Information means the email address, phone number, and mailing address you provide to Apriority.

2. Consent to Electronic Records and Signatures

By using the Service, you expressly agree that:

  • You consent to receive Electronic Communications and to use Electronic Signatures in connection with transactions related to the Service.
  • Electronic Signatures are valid and enforceable under applicable law, including the E-Sign Act.
  • You can access, read, and retain electronic records.

3. Scope of Communications

Electronic Communications may include, without limitation:

  • Notices and disclosures required by law or regulation.
  • Agreements, acknowledgements, and confirmations.
  • Updates, changes, or amendments to the Service or your account.

4. Withdrawing Consent

You may withdraw your consent at any time by contacting support@apriority.ai. Withdrawal does not affect prior electronic records or transactions.

5. Paper Copies

You may request paper copies of any Electronic Communications. Reasonable fees may apply, except as prohibited by law.

6. Hardware and Software Requirements

To receive, access, and retain electronic records, you must have:

  • An Internet-enabled device with storage capacity.
  • A modern web browser (Chrome, Firefox, Safari, Edge/IE 7+).
  • An active email account and phone for receiving text messages.
  • A PDF reader or equivalent software for viewing electronic records.
  • A compatible operating system (Windows XP or later; Mac OS X or later).

Requirements may change; material changes will be communicated via email or through the Service.

7. Updating Contact Information

You must keep your User Contact Information current. Failure to receive communications due to outdated information may result in inactive status or missed notices.

8. Federal Law Compliance

Your consent to receive electronic records and use Electronic Signatures is provided in connection with transactions affecting interstate commerce and governed by the federal Electronic Signatures in Global and National Commerce Act (E-Sign Act).

9. Acknowledgement of Consent

By agreeing to this Agreement, you confirm that:

  • You can access, read, and retain this Agreement electronically.
  • You are capable of printing or saving electronic records.
  • You consent to receive all communications electronically until withdrawal.

10. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.
